Sanctuary Seating – Terms & Conditions of Sale

These Terms & Conditions ("Terms") apply to all quotations, sales, invoices and supply of goods by Sanctuary Seating ("Sanctuary Seating", "we", "our" or "us") to the purchaser ("Customer", "you" or "your"). By accepting a quotation, issuing a purchase order, paying a deposit or otherwise placing an order, you acknowledge that you have read, understood and agree to be bound by these Terms.

1. Quotations

1.1 All quotations are valid for the period stated on the quotation unless otherwise advised.

1.2 Prices are subject to change until an order has been confirmed by receipt of the required deposit.

1.3 Unless specifically stated, quotations exclude installation, additional freight services, site-specific delivery requirements and any applicable surcharges.

2. Order Confirmation

2.1 A minimum 50% deposit is required before an order is placed into production.

2.2 Payment of the deposit confirms that the Customer has carefully reviewed and approved all details shown on the quotation and invoice, including but not limited to:

  • Product model

  • Fabric colour

  • Frame finish

  • Accessories

  • Quantity

  • Delivery address

  • Contact details

  • Pricing

2.3 Once the deposit has been received, the order is confirmed and manufacturing will commence. Changes requested after this point may not be possible and may incur additional charges and production delays.

2.4 It is the Customer's responsibility to ensure all order details are correct prior to payment of the deposit.

3. Manufacturing Schedule

3.1 Sanctuary Seating generally places manufacturing orders with our factory on the first Monday of each month.

3.2 Orders received after the monthly production cut-off may be included in the following manufacturing run.

3.3 Standard production and delivery time is approximately 8–12 weeks from confirmation of the order.

3.4 All delivery timeframes are estimates only and are not guaranteed.

4. Shipping & Delivery

4.1 Sanctuary Seating uses reputable national freight providers to transport customer orders.

4.2 Freight bookings are generally arranged through Loadshift, who allocate suitable third-party carriers based on destination and availability.

4.3 While we make every reasonable effort to ensure prompt delivery, shipping and freight services are provided by independent third parties and are outside our direct control.

4.4 Delivery delays may occur due to circumstances including, but not limited to:

  • Shipping line delays

  • Port congestion

  • Customs or biosecurity inspections

  • Industrial action

  • Public holidays

  • Severe weather events

  • Natural disasters

  • Vehicle breakdowns

  • Supply chain disruptions

  • Carrier scheduling

4.5 Sanctuary Seating accepts no liability for delays resulting from circumstances beyond our reasonable control.

5. Warehouse Operations

5.1 Sanctuary Seating operates its own warehouse and distribution facility where all products are received, inspected, stored and prepared prior to dispatch.

5.2 Every reasonable effort is made to ensure products leave our warehouse in excellent condition.

5.3 Once goods have been collected by the Customer or dispatched with a third-party freight carrier, responsibility for handling and transportation transfers to the collecting party or freight carrier.

5.4 Although we will gladly assist customers in resolving freight issues where possible, Sanctuary Seating cannot accept responsibility for damage, delays or losses occurring during transit that are outside our control.

6. Final Payment

6.1 Full payment of the remaining balance is required before any goods leave our warehouse.

6.2 No products will be released, dispatched or made available for collection until cleared funds have been received.

7. Collection & Inspection

7.1 Customers may collect their order from our warehouse by prior arrangement.

7.2 Customers are encouraged to inspect their goods before collection or dispatch.

7.3 Once goods have been collected by the Customer or their nominated transport provider, all risk transfers to the Customer.

8. Freight Damage & Claims

8.1 Customers must inspect goods immediately upon delivery.

8.2 Any visible freight damage should be noted on the carrier's delivery documentation before signing.

8.3 Any damage, shortages or missing items must be reported to Sanctuary Seating within 48 hours of delivery and supported with photographs where possible.

8.4 Failure to notify Sanctuary Seating within this period may affect our ability to pursue claims with the freight provider.

9. Product Variations

9.1 Sanctuary Seating products are manufactured in production batches.

9.2 Minor variations may occur between batches including:

  • Fabric shade

  • Texture

  • Stitching

  • Powder coating

  • Timber grain

  • Minor manufacturing tolerances

9.3 While every effort is made to maintain consistency, exact colour matching between different production batches cannot be guaranteed.

9.4 Customers requiring matching products are encouraged to order all required quantities in the same production run.

10. Product Improvements

Sanctuary Seating reserves the right to make minor improvements or modifications to product design, hardware, materials or manufacturing methods without prior notice, provided these changes do not materially affect the quality, intended use or performance of the product.

11. Delivery Access

The Customer is responsible for ensuring:

  • Safe truck access.

  • Suitable unloading areas.

  • Adequate building access.

  • Doorways and corridors suitable for the furniture dimensions.

  • Appropriate personnel are available to receive the delivery where required.

If delivery cannot be completed due to site access restrictions or customer-related issues, additional freight, storage or redelivery charges may apply.

12. Installation

Where installation services are provided, the Customer must ensure the installation site is ready on the agreed date.

Should installation be delayed due to:

  • Building works

  • Other contractors

  • Restricted site access

  • Customer scheduling changes

  • Unsafe working conditions

Sanctuary Seating reserves the right to recover reasonable additional labour, accommodation, travel and remobilisation costs.

13. Storage

If delivery or collection is delayed at the Customer's request after manufacturing has been completed, Sanctuary Seating may store the goods for a reasonable period.

Storage fees may apply where goods remain in storage beyond the agreed period.

14. Commercial Orders

Products are manufactured specifically for each customer's order and are not held as stock items.

Orders cannot generally be cancelled, amended or returned once production has commenced, except where required under Australian Consumer Law.

Deposits are non-refundable once production has begun.

15. Retention of Title

Ownership of all goods remains with Sanctuary Seating until payment has been received in full.

Risk transfers to the Customer upon delivery or collection.

16. Force Majeure

Sanctuary Seating shall not be liable for any delay or failure to perform its obligations where such delay results from events beyond our reasonable control, including:

  • Shipping disruptions

  • Port congestion

  • Customs delays

  • Government restrictions

  • Industrial action

  • Natural disasters

  • Floods

  • Fire

  • Cyclones

  • Pandemic events

  • War

  • Supplier shortages

  • Transport interruptions

Delivery estimates will automatically extend for the duration of such events.

17. Limitation of Liability

To the maximum extent permitted by law, Sanctuary Seating shall not be liable for any indirect, consequential, incidental or economic loss arising from delays, delivery, installation or use of our products.

Nothing in these Terms excludes any rights provided under the Australian Consumer Law.

18. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantees, rights or remedies available under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law.

19. Entire Agreement

These Terms, together with the accepted quotation and invoice, constitute the entire agreement between Sanctuary Seating and the Customer.

No verbal representations or promises shall vary these Terms unless confirmed in writing.

20. Governing Law

These Terms & Conditions are governed by the laws of Queensland, Australia.

Any dispute shall be subject to the exclusive jurisdiction of the Courts of Queensland.
